Governing Law
The laws of the United Kingdom shall govern these Terms and your use of the Website. Any disputes relating to these Terms or anything contained on the Website will be governed by the laws of the United Kingdom , without regard to its principles of conflicts of laws.
Arbitration
Any and all disputes, claims or controversies arising out of or relating to these Terms shall be settled by binding arbitration in accordance with The Commercial court of Arbitration governing rules and procedures, including the Supplementary Procedures for Consumer-Related Disputes, where applicable. In agreeing to arbitrate all Claims, you and Flight Around the World waive all rights to a trial by jury in any action or proceeding involving any Claim. The parties agree that an award and any judgment confirming it only applies to the arbitration in which it was awarded and cannot be used in any other case except to enforce the award itself..
The place of arbitration shall be as directed by Flight Around the World . The language of the arbitration shall be English. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability or formation of these Terms including, but not limited to any claim that all or any part of this agreement to arbitrate is void or voidable. All disputes regarding the payment of arbitrator or arbitration-organization fees including the timing of such payments and remedies for nonpayment, shall be determined exclusively by an arbitrator, and not by any court. The arbitration will decide the rights and liabilities, if any, of you and Flight Around the World. The arbitrator will have the authority to grant motions dispositive of all or part of any claim or dispute. Subject to the limitations set forth below in this Section, the arbitrator shall have authority to award legal and equitable relief on an individual basis that a judge in a court of law would have, provided that:
The arbitrator shall not have authority to award punitive damages unless authorized to do so by statute; and
Any and all claims shall be arbitrated on an individual basis only and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party. You and Flight Around the World agree that the arbitrator shall have no authority to arbitrate any Claim as a class action or in any other form other than on an individual basis.
The award shall be binding only among the parties and shall have no preclusive effect in any other arbitration or other proceeding involving a different party. The arbitrator shall follow the applicable law. The arbitrator’s decision is final and binding on you and Flight Around the World.
To the maximum extent permitted by law, you permanently and irrevocably waive the right to bring any Claim in any forum unless you provide Flight Around the World with written notice of the event or facts giving rise to the Claim within one (1) year of their occurrence, which should be provided in the manner outlined under the “Notice” Section
Notwithstanding any provision in these Terms to the contrary, we agree that if Flight Around the World makes any future material change to this agreement to arbitrate, it will not apply to any individual claim(s) that you had already provided notice of to Flight Around the World.
Indemnification
You hereby agree to indemnify and hold Flight Around the World and each of its respective members, operators, directors, officers, employees, shareholders, agents, affiliates, and representatives harmless from all claims, liabilities, damages, and expenses (including attorneys’ fees and court costs) arising out of or relating to: (i) your use of the Website; (ii) any content submitted by you ; (iii) any breach or alleged breach of these Terms; (iv) your violation of any applicable law, statute, ordinance, regulation, or of any third party’s rights; and (v) claims asserted by third parties that, if proven, would place you in breach of representations, warranties, covenants, or other provisions in these Terms. Flight Around the World may, in its sole and absolute discretion, control the disposition of any claim (and the selection of counsel) at your sole cost and expense. Without limiting the foregoing, you may not settle, compromise, or in any other manner dispose of any claim without the consent of Flight Around the World.
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.
Miscellaneous
We may assign these Terms in whole or in part at any time without your consent. You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder, or your account, in any way (by operation of law or otherwise), without Flight Around the World prior written consent. In the event of our bankruptcy, insolvency, reorganization, receivership, or assignment for the benefit of creditors, or the application of laws, or equitably principles affecting creditors’ rights generally, we may not be able to control how your personal information is treated, transferred, or used.
Force Majeure
Flight Around the World will not be liable for failing to perform under these Terms by the occurrence of any event beyond its reasonable control, including, without limitation, a labour disturbance, an internet outage or interruption of service, a communications outage, failure by a service provider to us or failure to perform due to fire, terrorism, natural disaster, pandemic, or war.
Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
